Terms and Conditions of Services

These Terms & Conditions (“Agreement”) govern the educational and linguistic services (“Services”) provided by Ruth’s BEST Resources LLC (“Provider,” “we,” or “us”) to the client (“Client,” “you,” “teacher,” “school,” “guardian,” or “student,” as applicable). By booking, purchasing, or accessing any Service, you agree to the terms below.

 

1. Scope of Services

We offer four service categories:

  1. One‑on‑One Tutoring – virtual or in‑person academic support in English, Spanish, or other agreed subjects.

  2. Classroom Coaching – instructional coaching for educators, including observation, feedback, and co‑planning.

  3. Translation & Interpretation – professional Spanish↔English translation of documents and interpretation in formal or informal settings.

  4. Custom Lesson‑Plan Writing – creation of standards‑aligned lesson plans or units tailored to language‑learning goals.

Service details (e.g., session length, deliverables, meeting platform) are confirmed in writing before work begins.

 

2. Scheduling & Delivery
  • Mutual Availability – All sessions, meetings, or deadlines are booked by mutual agreement and confirmed via email or your chosen platform.

  • Virtual Setup – Unless stated otherwise, services are delivered online using Zoom, Google Meet, or a comparable tool.

  • Punctuality – Please join sessions promptly. Late arrivals do not extend scheduled end times.

  • Turnaround Times (Lesson Plans & Translations) – Delivery timelines are agreed upon in advance; rush projects may require adjusted deadlines.

3. Rescheduling, Cancellations & No‑Shows

*Emergencies are evaluated case‑by‑case at Provider’s discretion.

 

4. Payment Terms
  • Invoices are issued electronically.

  • Full payment is due before the first session or, for project‑based work, before final delivery unless otherwise agreed.

  • Accepted methods: PayPal, Zelle, Venmo, major credit cards, or direct bank transfer.

  • Unused tutoring or coaching credits expire 90 days after the original purchase date.

(Specific rates and package prices are provided separately.)

 

5. Conduct & Professional Expectations
  • Respectful Interaction – All parties agree to maintain a courteous, inclusive, and professional environment.

  • Academic Integrity – Tutoring support will not complete graded assignments on the student’s behalf.

  • Recording – Sessions may not be recorded without written consent from both parties.

 

6. Client Responsibilities
  • Provide accurate background information (grade level, language proficiency, project scope, required terminology, etc.).

  • Ensure adequate internet connectivity, software access, and working audio/video equipment for virtual sessions.

  • Supply relevant materials (e.g., lesson objectives, source documents for translation, curriculum standards) in a timely manner.

 

7. Confidentiality & Privacy
  • We treat all student data, proprietary school documents, and translation content as confidential.

  • No personal information is shared with third parties except as required by law or with your written permission.

  • Please review our separate Privacy Policy for additional details.

 

8. Intellectual Property
  • Paid lesson plans, coaching resources, and translated documents become the Client’s property upon final payment, except where copyrighted third‑party materials are used with permission.

  • Provider retains the right to reference anonymized work samples in portfolios unless the Client requests otherwise in writing.

 

9. Accuracy & Revisions
  • Tutoring & Coaching – We strive for instructional excellence but cannot guarantee specific academic outcomes.

  • Translations – We deliver accurate, context‑appropriate translations; however, the Client is responsible for final review before publication.

  • Lesson Plans – One round of minor revisions is included if requested within 14 days of delivery. Substantial scope changes may require a new agreement.

 

10. Limitation of Liability
  • Provider shall not be liable for indirect, incidental, or consequential damages arising from the use of our Services, including but not limited to learning outcomes, technical failures, or publication errors. Total liability shall not exceed the fees paid for the specific Service at issue.

 

11. Termination of Services
  • Either party may terminate this Agreement in writing at any time. Fees for work already completed or sessions already delivered are non‑refundable.

 

12. Modifications
  • We may update these Terms & Conditions periodically. Changes apply to future bookings and will be shared with current Clients prior to their next session or deliverable.

 

13. Governing Law
  • This Agreement is governed by the laws of the State of New York, USA. Parties consent to the exclusive jurisdiction of New York courts for any dispute.

 

14. Non-Discrimination Policy
  • Ruth’s BEST Resources LLC does not discriminate on the basis of race, color, national origin, gender, disability, religion, sexual orientation, age, or any other characteristic protected under New York State or federal law.
